Moscow, 4 March 2005. Today, OAO "First Generation Company of the Wholesale Electricity Market" (OAO "WGC-4") was registered with the Inspectorate of the Federal Tax Service of Russia for the city of Surgut.

Pursuant to the Resolution of RAO "UES of Russia" On the Establishment of OAO "WGC-4", Andrey Kitashev (currently CEO of OAO "Permenergo") was appointed Director General of the newly established company.

Besides Andrey Kitashev, the following persons were appointed to the Board of Directors of OAO "WGC-4": Yury Makushin, Deputy Managing Director, Business Unit No. 2, RAO "UES of Russia"; Andrey Vagner Deputy Managing Director, Business Unit No. 2, RAO "UES of Russia"; Dmitry Fedorchuk, Chief of Corporate Management Department, Business Unit No. 2, RAO "UES of Russia"; Dmitry Burnashev, Chief of Business Planning Department, Corporate Center, RAO "UES of Russia"; Larisa Shiryaeva, Chief of Market Department, Reform Management Center of RAO "UES of Russia"; Alexey Gan, Director, Energy Sector Strategy Department, ZAO "SUEK Holding Company" (SIBENCO); Vladimir Tyurenkov, Managing Director, Hansberger Global Advisors; Alexey Matvienko, Manager for Investments, ZAO "Interros" Holding Company; Dmitry Shtykov, Director General, General Director, Professional Directors Institute Foundation; and Valery Nepsha, Deputy Director General, Professional Directors Institute Foundation.

The resolution to establish OAO "WGC-4" as a wholly-owned subsidiary of OAO RAO "UES of Russia" was approved by the Board of Directors of RAO "UES of Russia" on 26 November 2004.

The charter capital of OAO "WGC-4" at the time of establishment will be RUB8.2 billion and will be divided into ordinary shares of RUB1 par value.

Pursuant to Order of the Government of the Russian Federation No. 1254-r of 1 September 2003, the following companies were included in OAO "WGC-4": OAO "Berezovskaya TPP-1", OAO "Smolenskaya TPP", OAO "Surgutskaya TPP-2", OAO "Shaturskaya TPP-5", OAO "Yayvinskaya TPP".
