EGM votes for the consolidation of subsidiaries

Ekaterinburg - April 8, 2005 - Uralsvyazinform (RTS: URSI/URSIP) the leading carrier of fixed-line and mobile services in the Urals region, Russia reports the results of the extraordinary general meeting of shareholders carried out in the form of absentee vote as of March 31, 2005.

The General Meeting voted for the consolidation of the following 100%-owned subsidiaries into Uralsvyazinform:

  • ZAO Ermak RMS - operator of GSM900/1800 services in Tyumen region, Khanty-Mansyisky and Yamalo-Nenets ADs;
  • OOO South Urals Cellular Phone - operator of GSM900/1800 services in Chelyabinsk and Kurgan regions;
  • OOO Tyumenruscom - operator of DAMPS800 and GSM1800 services in Tyumen region;
  • OOO Uralcom - Data transmission and Internet provider in Perm and Sverdlovsk regions;
  • OOO VSNET - Data transmission and Internet provider in Khanty-Mansyisky AD.
The shareholders also approved the merger agreements between Uralsvyazinform and the five respective subsidiaries.

As of April 4, 2005 Uralsvyazinform received the approval of the Anti-Monopoly Ministry to reorganize the company and consolidate the subsidiary businesses.

Anatoly Ufimkin, CEO commented the results of the EGM - "We are thankful to the shareholders for their support and trust. The General Meeting has become the outcome of the substantial work initiated over a year ago to reorganize the business. The shareholders' consent presents a legal basis to complete the reorganization. We are sure that the merger will yield the company great benefits, both economic and financial on one hand, based on economies of scale, and higher operating efficiency of mobile and data transmission business on the other hand. Together this should raise Uralsvyazinform competitiveness in the growing telecommunications market. Uralsvyazinform will gain renewed impetus to develop as an innovative and versatile telecom, taking advantage of the synergies of mobile, fixed-line, data transmission and Internet".
