Moscow, 3 July 2006. OAO "WGC-4" has received Certificates from the Inspectorate of the Federal Tax Service of Russia for the city of Surgut, evidencing entry of records in the Unified State Register of Legal Persons regarding the termination of OAO "Berezovskaya TPP-1", OAO "Smolenskaya TPP", OAO "Shaturskaya TPP-5", OAO "Yaivinskaya TPP", and OAO "Surgutskaya TPP-2" as legal persons. Thus, the above AO-power plants have completed their merger with and into OAO "WGC-4".

In February 2006, the shareholder meetings (with the support of minority shareholders) and the joint shareholder meeting of OAO "WGC-4" and the AO-power plants approved the power plants' merger with OAO "WGC-4". After the mergers, the minority shareholders hold a 10.4% stake in WGC-4, while RAO "UES of Russia" controls 89.6%. Trading in WGC-4 shares on the RTS Stock Exchange and MICEX Stock Exchange is expected to start in August-September 2006.

WGC-4, which has five production branches, now submits price offers to NP "Administrator of Trading System" (NP "ATS") as an independent participant of the free market segment.

The consolidation of the company's production and financial assets will boost the investment attractiveness of OAO "WGC-4". The company is included in the list of pilot WGCs and TGCs approved by the Board of Directors of RAO "UES of Russia" 23 June 2006 concerning the private placement of additional shares to finance top priority investment projects.
