Moscow, 5 August 2005. On 4 August 2005, the Federal Service for the Financial Markets (FSFM) of Russia registered the issue of ordinary shares and the share placement report of OAO "Territorial Generation Company No. 6" (OAO "TGC-6").

According the share issue resolution, OAO "TGC-6" has placed 1 billion ordinary shares, par value of RUB0.01 per share. Accordingly, at the time of establishment, the authorized capital of the Company was RUB10 million.

On 27 April 2005, OAO "TGC-6" was registered with the Inspectorate of the Federal Tax Service of Russia for Kanavinsky District, the city of Nizhny Novgorod. The Director General of OAO "TGC-6" is Vladimir Privalov.

At its meeting held on 25 February 2005, the Board of Directors of RAO "UES of Russia" approved the establishment by RAO "UES of Russia" of OAO "TGC-6" as a wholly-owned operational company using lease arrangements, and a subsequent merger of the regional generation companies (OAO "Ivanovo Generation Company", OAO "Vladimir Generation Company", OAO "Penza Generation Company", OAO "Nizhny Novgorod Generation Company", and OAO "Mordovia Generation Company") with and into OAO "TGC-6".
