Gazprom has sold its 95.13% stake in Gazprom-Media, 4.44% stake in Telekompaniya NTV, 100% of shares in PRT-1 (owns a 14.7% stake in Telekompaniya NTV), 14.31% stake in Media-Most and 1.73% stake in TNT-Teleset to an entity affiliated with Gazprombank.
Gazprom purchased 100% of authorized capital of Gazoenergeticheskaya Kompaniya (GEK) from a Gazprombank subsidiary.
GEK’s main asset is a 5.3% stake in Unified Energy System (UES) of Russia. Besides, GEK is purchasing a 5.19% stake of UES of Russia from Gazprombank. Consequently, GEK will own a 10.49% stake in UES of Russia.
To consolidate the 10.49% stake of UES of Russia within a wholly owned subsidiary, the Gazprom Board of Directors endorsed the deals involving Gazprombank.
All the above-mentioned transactions have been approved by the Gazprom Board of Directors.
The asset swaps enable Gazprom to convert its power generation sector from a financial investment category into a core business.
