Now the first stage of formation of TGC-9 by force of affiliation to it of OJSC “Perm Generating Company” and OJSC “Sverdlovsk Generating Company” has been finished. On July 1st, 2006 the state registration of OJSC “Komi Regional Generating Company” that was allocated from OJSC “Komienergo”, took place.
In future they intended to carry out the emission of additional stocks of TGC-9. They will be covered by the stocks “Komi Regional Generating Company”. But at the meeting of the Board of Directors of RAO “UES of Russia” on July 28th, 2006 the variant of completion of formation of TGC-9 by force of affiliation of OJSC “Komi Regional Generating Company” to it, was considered more preferable because this variant corresponds to the general approach to formation of TGC as the united operating companies.
At the same time it is provided that if shareholders of “Komi Regional generating company” do not make the decision of affiliation of the company to TGC-9, TGC-9 will carry out the emission of additional stocks. They will be reimbursed by the stocks of “Komi regional generating company” that belong to RAO “UES of Russia” and minor shareholders, who supported reorganization of RGC or did not take part in the voting on this question.
At today’s meeting the Board of Directors of RAO “UES of Russia” for affiliation of “Komi Regional generating company” to TGC-9 approved the following coefficients of conversion:
- into one equity of OJSC “TGC-9” with the par of 0,003 RUR is converted 1/189 of an equity of OJSC “Komi regional generating company” with the par of 0,65 RUR each;
- into one equity of OJSC “TGC-9” with the par of 0,003 RUR is converted 1/173 of a privileged share of OJSC “Komi regional generating company” with the par of 0,62 RUR each;
Conversion coefficients were calculated by the investment bank the Close Corporation “United Financial Group” on the basis of evaluation of the market value of stocks, carried out by the consortium of independent appraisal organizations: the Close Corporation “International Appraisal Centre”, the Close Corporation “NP Consult” and the Close Corporation “Ernst and Young – Value consulting”. The reports of appraisal companies received positive opinion of the company Deloitte & Touche.
The Board of Directors charged representatives of RAO “UES of Russia” in TGC-9 and “Komi Regional Generating Company” at the meetings of the Board of Directors and stockholders meetings to vote for making of all necessary decisions aimed at completion of formation of the principal structure of TGC-9.
