In compliance with the Board of Directors’ recommendations, PricewaterhouseCoopers Audit has been endorsed by Gazprom’s Annual General Shareholders’ Meeting as the Company’s auditor for 2005.

Gazprom and PricewaterhouseCoopers Audit launched cooperation in 1995. Currently, PricewaterhouseCoopers Audit’s services being rendered to Gazprom are as follows:

• auditing Gazprom’s (parent company’s) financial statements pursuant to the requirements of the Russian legislation;
• auditing the Gazprom Group’s annual consolidated financial statements filed in accordance with the requirements of the Russian legislation;
• auditing the Gazprom Group’s annual consolidated financial statements filed under the International Financial Reporting Standards.

PricewaterhouseCoopers Audit is also serving as auditor for Gazprom’s major subsidiaries.
