Moscow, 5 October 2005. The Federal Service for Financial Markets (FSFM) of Russia registered on 4 October 2005 the share issues of the companies spun off from OAO "Tomskenergo", OAO "Kirovenergo", and OAO "Rostovenergo".
The regulator registered prospectuses of ordinary and Type A preferred shares of OAO "Tomsk Energy Retail Company", OAO "Vyatskaya Electricity and Heat Company", and OAO "Rostov Generation Company" distributed among the shareholders of the companies reorganized through spin-off (OAO "Tomskenergo", OAO "Kirovenergo", and OAO "Rostovenergo", respectively).
1. OAO "Tomsk Energy Retail Company"
- 3,819,315,580 uncertificated registered ordinary shares, par value RUB0.0071 per share, for a total value of RUB27,117,140.618. The state registration number assigned to the share issue is 1-01-50130-?;
- 576,693,000 uncertificated registered preferred shares, par value RUB0.0071 per share, for a total value of RUB4,094,520.3. The state registration number assigned to the share issue is 2-01-50130-?.
2. OAO "Vyatskaya Electricity and Heat Company"
- 2,148,390,472 uncertificated registered ordinary shares, par value RUB1.1 per share, for a total value of RUB2,363,229,519.2. The state registration number assigned to the share issue is 1-01-65128-D.
- 703,995,200 uncertificated registered preferred shares, par value RUB1.1 per share, for a total value of RUB774,394,720. The state registration number assigned to the share issue is 2-01-65128-D.
3. OAO "Rostov Generation Company"
- 3,128,764,676 uncertificated registered ordinary shares, par value RUB1.23 per share, for a total value of RUB3,848,380,551.48. The state registration number assigned to the share issue is 1-01-50096-?.
- 925,737,256 uncertificated registered ordinary shares, par value RUB1.23 per share, for a total value of RUB1,138,656,824.88. The state registration number assigned to the share issue is 2-01-50096-?.
The above companies completed their state registration on 31 March 2005, 1 May 2005, and 11 January 2005. The companies' share issues were registered with the FSFM of Russia on 28 June 2005, 14 July 2005, and 10 March 2005.

Information for the attention of stock market participants:
Shares in the spin-off companies have been distributed among the shareholders of the company reorganized through spin-off.
Shareholders in the reorganized regional energo are entitled to receive, for each share of the class (type) held by them, shares of the same class (type) in each of the newly established companies, at a ratio determined in the resolution on the reorganization.
The date on which the shares in the spin-off companies are placed is the date of state registration of the companies established as a result of regional energos' reorganization. The new shares are to be credited to the securityholder accounts with registrars and to the securities safekeeping accounts with securities depositories in accordance with the records in the share register of the regional energo as at such date.
The new shares are to be credited to the securityholder accounts by the Registrar maintaining the share registers of the newly established companies.
