| Moscow. 22 July 2005. The Federal Service for Financial Markets (FSFM) of Russia registered on 21 July 2005 share issue prospectuses of the companies spun off from OAO "Bryanskenergo", OAO "Marienergo", OAO "Voronezhenergo", and OAO "Mordovenergo".
The regulator registered the prospectuses of issues of uncertificated registered ordinary shares of OAO "Bryansk Retail Company", OAO "Voronezh Generation Company", OAO "Mari Regional Generation Company", and the prospectus of the issue of uncertificated registered Type A preferred shares of OAO "Mordovia Heat Network Company" distributed among the shareholders of the energy companies reorganized through spin-off.
1. OAO "Bryansk Retail Company"
- 9,506,650 uncertificated registered preferred shares, par value RUB0.10 per share, for a total value of RUB950,665. The state registration number assigned to the share issue is 1-01-65070-D;
- 3,147,550 uncertificated registered preferred shares, par value RUB0.10 per share, for a total value of RUB314,755. The state registration number assigned to the share issue is 2-01-65070-D.
2. OAO "Voronezh Generation Company"
- 56,151,024 uncertificated registered preferred shares, par value RUB16 per share, for a total value of RUB898,416,384. The state registration number assigned to the share issue is 1-01-55030-E;
- 18,716,678 uncertificated registered preferred shares, par value RUB16 per share, for a total value of RUB299,466,848. The state registration number assigned to the share issue is 2-01-55030-E.
3. OAO "Mari Regional Generation Company"
- 121,847,780 uncertificated registered preferred shares, par value RUB9.9 per share, for a total value of RUB1,206,293,022. The state registration number assigned to the share issue is 1-01-55043-E;
- 10,652,220 uncertificated registered preferred shares, par value RUB9.9 per share, for a total value of RUB105,456,978. The state registration number assigned to the share issue is 2-01-55043-E.
4. OAO "Mordovia Heat Network Company"
- 1,345,037,710 uncertificated registered ordinary shares, par value RUB0.35 per share, for a total value of RUB470,763,198.5. The state registration number assigned to the share issue is 1-01-55056-E;
The above companies completed their state registration on 1 October 2004, 31 August 2004, 1 January 2005 and 1 February 2005. The companies' share issues were registered with the FSFM of Russia on 2 December 2004, 30 November 2004, 1 March 2005, and 29 March 2005.
Information for the attention of stock market participants:
Shares in the spin-off companies were distributed among the existing shareholders of the company reorganized through spin-off.
Shareholders in the reorganized regional energo are entitled to receive, for each share of the relevant category (type) held by them, shares of the same category (class) in each of the newly established companies, at a ratio determined in the resolution on the reorganization.
The date on which the shares in the spin-off companies are placed is the date of state registration of the companies established as a result of regional energos' reorganization. The new shares are to be credited to the securityholder accounts with registrars and to the securities safekeeping accounts with securities depositories in accordance with the records in the share register of the regional energo as at such date.
The new shares are to be credited to the securityholder accounts by the Registrar maintaining the share registers of the newly established companies.
